Terms of Service

1. Agreement

By purchasing, installing, or using Yield ERP software ("Yield", "the Software"), you agree to be bound by these Terms of Service. If you are using Yield on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. License Grant

Subject to these terms, YieldHQ grants you a license to use the Yield software under the following conditions:

• Yield licenses are perpetual and non-exclusive.
• Each license is locked to a single domain.
• You may install Yield on any server you control.
• Unlimited users per installation.
• The license does not include source code access (available separately).

3. Permitted Use

You are permitted to:

• Use Yield for your own business operations.
• Create backups of your installation.
• Customize via the API and webhooks.
• Install updates and patches.

4. Restrictions

You may not:

• Redistribute, sublicense, or resell Yield.
• Reverse engineer the software (unless a source code license has been purchased).
• Remove or modify license validation.
• Use Yield to provide ERP-as-a-service to third parties.

Support and maintenance is an optional annual subscription:

• Available at $2,000/year.
• Includes software updates, security patches, and email support.
• Does not include custom development (available separately at $200/hr).

7. Payment Terms

All payments are processed securely through Stripe. Yield licenses and source code licenses are one-time purchases with no recurring charges unless you opt into the support and maintenance plan. We offer a 30-day money-back guarantee on all license purchases. If you are not satisfied with Yield within 30 days of purchase, contact us for a full refund.

8. Limitation of Liability

To the maximum extent permitted by applicable law, YieldHQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Software, regardless of the cause of action or the theory of liability, even if YieldHQ has been advised of the possibility of such damages. Our total liability shall not exceed the amount you paid for the Software license.

9. Warranty Disclaimer

The Software is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. YieldHQ does not warrant that the Software will be uninterrupted, error-free, or free of harmful components.

10. Termination

We may terminate or suspend your license if you violate these Terms of Service. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Your perpetual license remains valid as long as you comply with these terms. Sections relating to limitations of liability, warranty disclaimers, and governing law survive termination.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Delaware, USA.
